Twinsen Inc., operating as PMO Pilot

1. Agreement and eligibility

These Terms of Service (the “Terms”) form a binding agreement between you and Twinsen Inc., operating as PMO Pilot (“PMO Pilot,” “we,” “us,” or “our”). By creating an account, clicking acceptance, accessing, or using PMO Pilot, you agree to these Terms and acknowledge the Privacy Policy. If you use PMO Pilot for an organization, you represent that you are authorized to bind that organization to these Terms.

You must be legally capable of entering into this agreement and meet any minimum age required by applicable law. PMO Pilot is intended for professional and organizational project-management use and is not directed to children.

2. The service

PMO Pilot provides project and portfolio-management capabilities that may include projects, tasks, deliverables, RAID items, decisions, meetings, stakeholders, timesheets, invoices, reports, access controls, notifications, and related administrative functions. Features may vary by plan, configuration, role, organization, or release.

We may improve, modify, add, suspend, or discontinue features. We will use reasonable efforts to provide notice of material changes that substantially reduce paid functionality, except where immediate action is needed for security, legal compliance, or service integrity.

3. Accounts, verification, and approval

  • Provide accurate, current, and complete registration information and keep it updated.
  • Protect your password, authentication methods, and recovery information; do not share credentials.
  • Complete email verification and any administrator approval required by your organization.
  • Use only your own account. Notify support promptly of suspected unauthorized access.
  • Platform roles and project roles are separate. Account approval does not automatically grant access to any project.

Your organization or authorized administrators may approve, reject, suspend, change, or remove your platform or project access under their policies. We may refuse or disable accounts that are duplicate, misleading, unlawful, insecure, or inconsistent with these Terms.

4. Organizations, projects, and administrators

If an organization controls the workspace or project you use, that organization may manage users, roles, permissions, content, retention, exports, and access. Organization administrators act on behalf of their organization, not on behalf of PMO Pilot. You are responsible for obtaining authority before uploading or managing information about other people.

5. Acceptable use

You must use PMO Pilot lawfully and responsibly. You must not:

  • Access accounts, projects, data, or systems without authorization; bypass permissions or security controls.
  • Upload malware, exploit vulnerabilities, interfere with service availability, or conduct unauthorized testing.
  • Use the service for fraud, harassment, discrimination, unlawful surveillance, or infringement of rights.
  • Submit content you do not have the right to use, disclose, or instruct us to process.
  • Scrape, reverse engineer, resell, sublicense, or create a competing service except where applicable law expressly permits.
  • Transmit highly sensitive information unless the applicable service configuration, contract, and safeguards expressly support it.
  • Misrepresent identity, approvals, project status, financial records, or audit evidence.

6. Customer content and responsibilities

“Customer Content” means information submitted to PMO Pilot by you, your organization, or authorized users. As between you and PMO Pilot, you or your organization retains ownership of Customer Content. You grant us a limited, non-exclusive licence to host, copy, process, transmit, display, back up, and otherwise use Customer Content only to provide, secure, support, and improve the service, comply with law, and perform the agreement.

You are responsible for the accuracy, legality, quality, permissions, and instructions associated with Customer Content, including personal information about teammates, clients, suppliers, and stakeholders. Do not treat PMO Pilot as the sole repository for information that must be independently archived by law or contract.

7. Privacy and security

Our Privacy Policy explains how we handle personal information. We use administrative, technical, and physical safeguards appropriate to the nature of the information and the service. No system is completely secure, and we do not guarantee that unauthorized access or service interruptions will never occur.

You must configure roles and permissions carefully, use available security features, and promptly remove access that is no longer required. Where a separate data-processing agreement or organization agreement applies, it prevails for the covered processing to the extent of conflict.

8. Third-party services

PMO Pilot may integrate with or link to third-party services, including identity providers, cloud platforms, email providers, analytics tools, payment processors, or data sources. Third-party services are governed by their own terms and privacy practices. We are not responsible for third-party services that we do not control.

9. Fees, taxes, and subscriptions

If paid plans are offered, pricing, billing frequency, usage limits, renewal, cancellation, and refund terms will be shown in the applicable order form or checkout. Fees are exclusive of applicable taxes unless stated otherwise. You authorize the applicable payment method and must keep billing information current. If PMO Pilot is currently offered without charge, we may introduce paid plans prospectively with reasonable notice.

10. Intellectual property and feedback

PMO Pilot and its software, interface, branding, documentation, and underlying technology are owned by us or our licensors and are protected by intellectual-property laws. Except for the limited right to use the service under these Terms, no rights are transferred to you. If you provide feedback, you permit us to use it without restriction or compensation, provided we do not identify you publicly without permission.

11. Confidentiality

Each party must protect non-public information received from the other using reasonable care and use it only for the relationship. Confidentiality obligations do not apply to information that is public without breach, independently developed, lawfully received without restriction, or required to be disclosed by law. Customer Content is treated as confidential subject to authorized access and the Privacy Policy.

12. Suspension and termination

You may stop using the service and request account closure through available settings or support. We may suspend or terminate access for material breach, non-payment, security risk, unlawful activity, administrator instruction, or where required by law. Where practical, we will provide notice and an opportunity to cure before termination, except for urgent or serious matters.

Account closure removes sign-in and future access but does not necessarily erase project, audit, security, billing, legal, or backup records. Retention and deletion are described in the Privacy Policy, applicable organization settings, and contractual requirements. Provisions intended to survive — including ownership, confidentiality, disclaimers, liability limits, indemnity, records, and dispute terms — remain effective.

13. Availability, warranties, and disclaimers

We aim to provide a reliable service but do not promise uninterrupted, error-free, or completely secure operation. To the maximum extent permitted by law, PMO Pilot is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the service will meet every requirement. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

14. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, goodwill, business opportunity, or data, arising from the service. Our aggregate liability arising from the service will not exceed the greater of (a) the amounts paid to us for the service during the twelve months before the event giving rise to the claim and (b) CAD $100. These limits do not apply where prohibited by law or to fraud, wilful misconduct, or liability that cannot be limited.

15. Indemnification

To the extent permitted by law, an organization using PMO Pilot will defend and indemnify us against third-party claims arising from its Customer Content, unlawful use, infringement, or material breach of these Terms, except to the extent caused by our breach, negligence, or wilful misconduct. We will provide reasonable notice and cooperation and will not settle a claim imposing non-monetary obligations on the indemnifying party without consent.

16. Governing law and disputes

These Terms are governed by the laws of Quebec and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to mandatory consumer or privacy rights, the courts located in the judicial district of Montréal, Quebec will have exclusive jurisdiction. Before filing a claim, the parties will try in good faith for at least 30 days to resolve the matter through the contact information below.

17. Changes to these Terms

We may update these Terms to reflect service, legal, security, or business changes. We will post the updated version and effective date and provide additional notice for material changes where appropriate. Continued use after the effective date means acceptance, unless applicable law requires another form of consent.

18. General terms

These Terms, the Privacy Policy, applicable order forms, and any signed agreement constitute the agreement for the service. If a signed agreement conflicts with these Terms, the signed agreement controls for that organization. You may not assign these Terms without our consent; we may assign them as part of a merger, financing, reorganization, or sale of assets. Failure to enforce a provision is not a waiver. Invalid provisions will be limited or removed while the remainder continues. Electronic notices and acceptance are valid to the extent permitted by law.
